For commercial purchase or rental of OWL Smart Glasses

OWL is manufactured by XPERT INC (Seoul, Korea). Mine Global Ltd (Cyprus, HE430465) acts as authorised European distributor. The 2-year hardware warranty, software support, repairs, and on-site implementation are all provided directly by XPERT INC. Mine Global Ltd coordinates the sale, the documentation, and the customer experience in Europe — but does not provide hardware or software warranty itself.
1. Parties
"Manufacturer" means XPERT INC Co., Ltd., a Korean company with registered office at 6th floor, Seokchonhosu Building, 220 Seokchonhosu-ro, Songpa-gu, Seoul, Republic of Korea, 05610.
"European Distributor" means Mine Global Ltd, a Cyprus company (HE430465, VAT CY10430465L) with registered office at Korytsas 12, Ayios Andreas, Nicosia, Cyprus, 1107. Authorised European distributor of OWL on behalf of XPERT INC.
"Customer" means the institution or organisation purchasing or renting OWL devices from these Terms.
2. Scope of these Terms
These Terms apply to every commercial purchase or rental of OWL Smart Glasses initiated through owl.citf.cy or by direct quote from the European Distributor. Submitting a quote request, signing a quote, or paying an invoice constitutes acceptance of these Terms.
Pilot deployments under the K-Inno Global Programme (Korean government) are governed by separate pilot agreements between the Customer and XPERT INC, not by these Terms.
3. Roles and responsibilities
3.1 XPERT INC (Manufacturer) is solely responsible for:
- Manufacturing, assembly, and quality control of all OWL hardware
- The 2-year hardware warranty (frame, electronics, display, battery, charging components)
- OWL software stack: real-time AI subtitle synchronisation, multilingual translation pipeline, mobile companion app, host PC software
- Firmware updates, bug fixes, security patches
- Technical support, troubleshooting, repair, and replacement of defective units
- On-site setup, system commissioning, language QA, and operator training
- Delivery from Seoul to the Customer's nominated address (when DDP shipping is contracted)
- Customs clearance, import duties, and freight forwarder coordination (when DDP)
3.2 Mine Global Ltd (European Distributor) is responsible only for:
- Initial customer outreach, sales conversation, and quote preparation in Europe
- Coordinating documentation between Customer and XPERT INC
- Acting as a single European point of contact for scheduling and language coordination
- Liaising on commercial terms, payment milestones, and milestone confirmation
3.3 The European Distributor is NOT responsible for:
- Hardware defects, malfunctions, or warranty claims of any kind
- Software bugs, synchronisation errors, or translation quality
- Loss, theft, or damage in transit (covered by Manufacturer's freight insurance under DDP, or the Customer's own insurance otherwise)
- On-site technical operation during performances
- Local regulatory compliance, electrical safety certification, or radio frequency licensing in the Customer's jurisdiction
All warranty, support, and technical claims are to be raised directly with XPERT INC at the contact details provided in the formal quote and invoice.
4. Pricing and payment
All prices on owl.citf.cy/shop are indicative supply prices (FOB Korea), exclusive of VAT, customs duties, and shipping unless explicitly stated. Final pricing is confirmed in the formal quote issued by the European Distributor on behalf of XPERT INC.
Payment terms: 100% prepayment by bank transfer to the account specified in the formal quote. Payment is made directly to XPERT INC (or via the European Distributor if structured as such in the quote). The Customer becomes the legal owner of the hardware upon receipt of full payment and delivery confirmation.
Lead time: typically 1 month from confirmed payment to dispatch from Seoul, plus shipping time depending on destination and chosen freight method.
5. Warranty
XPERT INC provides a 2-year limited warranty on all hardware components from the date of delivery, covering manufacturing defects, premature electronic failure, and battery-related issues. The warranty does not cover physical damage, water damage, unauthorised modifications, or normal wear (audience-rental scratches, cosmetic wear, replaceable nose pads).
Warranty claims are submitted directly to XPERT INC. The European Distributor may assist with logistics coordination but does not adjudicate warranty claims.
6. Software and licences
The OWL software (host PC application, mobile companion app, AI subtitle synchronisation pipeline) is provided by XPERT INC under a per-use licence:
- Performance licence: charged per actual performance using the glasses (default tariff: €1.50 per glass per show)
- PC application licence: charged per minute of operational use (default tariff: €1.20 per minute)
Continuous software updates are included for the duration of an active commercial relationship. Licences are non-transferable to third parties.
7. Audience-rental model
Customers may rent the glasses to their audience members at the box office at a price of their choice (typical industry rate: €10 per pair per show). All audience-paid revenue is retained by the Customer. The Customer is responsible for compliance with local consumer-protection regulations regarding rental, damage waiver, and lost-device replacement.
8. Refunds and cancellations
Once an order is confirmed and production has started in Seoul, refunds are at the discretion of XPERT INC. Quotes can be withdrawn before payment without penalty. Custom translation work and language development that has commenced is non-refundable.
9. Intellectual property
All intellectual property in OWL hardware, OWL software, and the Rokid Glasses underlying platform belongs to XPERT INC and Rokid respectively. The Customer receives a non-exclusive, non-transferable right to use the system for the agreed purpose. Reverse engineering, firmware modification, or redistribution is prohibited.
10. Limitation of liability
To the maximum extent permitted by law, neither XPERT INC nor the European Distributor shall be liable for indirect, incidental, consequential, or punitive damages arising from the use or inability to use the OWL system, including but not limited to loss of revenue, audience dissatisfaction, or production delays. Total liability is limited to the amount paid by the Customer for the specific transaction in question.
11. Force majeure
Neither party is liable for delays or failure caused by events beyond reasonable control, including but not limited to natural disasters, war, pandemic, government action, or supply-chain disruption affecting either Seoul manufacturing or international freight.
12. Governing law and dispute resolution
For commercial contracts initiated through the European Distributor, these Terms are governed by the laws of Cyprus. Any dispute arising shall first be addressed by good-faith negotiation. Failing resolution within 60 days, disputes shall be submitted to the courts of Limassol, Cyprus.
For warranty and product-liability disputes, claims are addressed to XPERT INC under the laws of the Republic of Korea, as specified in the formal quote.

14. Updates to these Terms
We may update these Terms from time to time. The current version is always available at owl.citf.cy/terms. Updates do not affect orders already in production.
